Owner-managed companies ("OMCs") face a unique predicament in their relationship with law and law firms. They have vast legal needs. Yet at the same time, most OMCs do not have in-house legal counsel who can point out when a business transaction or business problem requires the OMC to engage legal services. Due to barriers around legal knowledge and the technical nature of legal services, OMCs do not know the technical terminology of the legal service they need. Many lawyers still lack interpersonal skills, and shopping for lawyers is a stressful experience.

    Our private capital transactions practice is centred on the representation of clients in the formation, restructuring, and reorganisation of private capital investments. We are skilled in complex and high-stake Mergers & Acquisitions (M&A) transactions and corporate structuring. We are also well-versed in helping clients navigate the legal landscape of new and emerging markets.
  • Dispute Resolution
    Our dispute resolution practice is focused on construction, real estate, maritime, and corporation. We are well-versed in the UAE local judicial system; DIFC and ADGM courts; and the intricacies of foreign and international law. Our partners have a proven track record and market reputation in successfully resolving high-stake arbitration cases (DIAC, arbitrateAD, and Ad hoc arbitration).

Fareya Azfar
Co-Founder
Fareya Azfar is a co-founder of the firm, and specializes in cross-border litigation and international arbitration, focusing on corporate governance, shareholders, post transactional and financial reporting disputes.

Fareya is multi-lingual, qualified in multiple jurisdiction and experienced in both civil and common laws.

In her 15 years of practice experience, Fareya has acted as counsel in over 300 litigations and 120 arbitration cases.

Jade Araoui
Co-Founder
With over 20 years of post-qualification experience, including 18 years in the GCC, Jade has been engaged in a variety of legal assignments across the MENA region, gaining valuable UAE and other GCC experience.

Jade is servicing his clients under a flexible platform comprising of the ADGM firm and several collaborative firms in the UAE (onshore license) and KSA, which provide direct access to the various judicial and regulatory bodies in these key jurisdictions. He has provided many years of legal consultation in the areas of regulated (financial) activities & compliance (Federal and ADGM regulations); Private Equity; Mergers & Acquisitions; Corporate/Capital Structuring; Joint Venture Agreements (JVA), Public-Private Partnerships (PPP projects), and many facets of commercial advisory.
